web cookies in order to provide advertisements about
goods and services of interest to you.

affiliates, in which case we will require those affiliates to honor this
Privacy Policy. Affiliates include our parent company and any subsidiaries,
joint venture partners or other companies that we control or that are under

Offer Wall
The Application
may display a third-party-hosted "offer wall." Such an offer wall allows third-party advertisers to offer virtual
currency, gifts, or other items to users in return for acceptance and
completion of an advertisement offer. Such an offer wall may appear in the Application and be displayed to you
based on certain data, such as your geographic area or demographic
information. When you click on an offer
wall, you will leave the Application. A
unique identifier, such as your user ID, will be shared with the offer wall
provider in order to prevent fraud and properly credit
your account.

Contacts
If you connect to the Application through a
social network, your contacts on the social network will see your name, profile
photo, and descriptions of your activity.
Other Third Parties
We may share your information with advertisers
and investors for the purpose of conducting general
business analysis. We may also share your information with such third parties
for marketing purposes, as permitted by law.
Sale or Bankruptcy
If we reorganize or sell all or a portion of our
assets, undergo a merger, or are acquired by another entity, we may transfer
your information to the successor entity. If we go out of business or enter bankruptcy, your information would be

any third-party websites, you should inform yourself of the privacy policies
and practices (if any) of the third party responsible for that website, and

security practices and policies of any third parties, including other sites,
services or applications that may be linked to or from the Application.

our efforts, no security measures are perfect or impenetrable, and no method of

is vulnerable to interception and misuse by unauthorized parties. Therefore, we cannot guarantee complete

addresses of all third parties with which we shared personal information in the

California, and have a registered account with the Application, you have the
right to request removal of unwanted data that you publicly post on the
Application. To request removal of such data, please contact us using the

with your account and a statement that you reside in California. We will make sure the data is not publicly
displayed on the Application, but please be aware that the data may not be
completely or comprehensively removed from our systems.
ADA COMPLIANCE
ADA compliance is an incredibly complex series of specifications. We do our best to adhere to the major components of the ADA specification for websites. It would be very difficult to satisfy every detail and we cannot guarantee 100% compliance. Client webmasters who maintain a website are responsible for the content of the website.
Limitation of Liability
EXCEPT IN THE EVENT OF UNIONS-AMERICA’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, UNIONS-AMERICA SHALL HAVE NO LIABILITY WITH RESPECT TO ITS OBLIGATIONS UNDER THIS AGREEMENT OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST BUSINESS PROFITS, DISRUPTION OF IT SERVICES, COSTS INCURRED, AND LOST, DAMAGED OR DESTRUCTION OF DATA, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT IN THE EVENT OF UNIONS-AMERICA’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE LIABILITY OF UNIONS-AMERICA TO CUSTOMER FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO THE AMOUNT PAID TO UNIONS-AMERICA BY CUSTOMER FOR ANY SERVICES UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT OR CAUSE GIVING RISE TO SUCH CLAIM.
THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION, TO CLAIMS BASED UPON BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, AND OTHER TORTS. BOTH PARTIES UNDERSTAND AND AGREE THAT THE REMEDIES AND LIMITATIONS HEREIN ALLOCATE THE RISKS OF PRODUCT AND IT SERVICES NONCONFORMITY BETWEEN THE PARTIES AS AUTHORIZED BY THE UNIFORM COMMERCIAL CODE AND OF OTHER APPLICABLE LAWS.
UNIONS-AMERICA SHALL NOT BE LIABLE FOR ANY FAILURE TO PERFORM ITS OBLIGATIONS UNDER THIS AGREEMENT WHERE SUCH FAILURE IS DUE TO CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, WAR, TERRORISM, STRIKES, GOVERNMENT REGULATIONS, NATURAL DISASTERS, OR ANY OTHER FORCE MAJEURE EVENT.
THE FEES TO BE CHARGED HEREUNDER REFLECT, AND ARE SET IN RELIANCE UPON, THIS ALLOCATION OF RISKS AND THE EXCLUSION OF CONSEQUENTIAL AND SPECIAL DAMAGES SET FORTH IN THIS AGREEMENT.
Warranties
"COMPANY" warrants that the IT services provided under this Agreement shall be performed with reasonable care and skill, in a professional and workmanlike manner, and in accordance with industry standards.
"COMPANY" does not warrant that the IT services will be uninterrupted or error-free, nor does it make any warranty as to the results that may be obtained from the use of the IT services.
"COMPANY" disclaims all other warranties, express or implied, including but not limited to, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
"CLIENT" warrants that it has the necessary rights, permissions, and authority to engage "COMPANY" for the services described in this Agreement and that its use of the IT services will comply with all applicable laws and regulations.
If "COMPANY" provides any third-party products or services to "CLIENT" as part of the IT services, "COMPANY" shall pass through to "CLIENT" any warranties provided by the third-party suppliers to the extent permitted by the supplier. "COMPANY" makes no additional warranties with respect to such third-party products or services.
Indemnity
Customer shall indemnify and hold harmless Unions-America and its affiliates, including their respective owners, officers, directors, and employees from any claim, suit, loss, cost, damage (including consequential damages), expense (including reasonable attorneys’ fees and expenses), or liability of any nature or kind whatsoever directly or indirectly arising out of, or resulting from, this Agreement or use of any services from Unions-America, including without limitation, Customer’s (i) breach or failure to comply with any of its obligations or requirements under this Agreement or any applicable law, or (ii) infringement of any copyright, patent, or other intellectual property or proprietary right of a third party.
We reserve the right to change the terms of service and privacy policy at any time.
